Payments Add-on

This Payments Add-on adds to the Precision IT Management Customer Terms (the "Customer Terms"). It applies only if you turn on card or bank (ACH) payments in a Precision IT Management product. If this add-on and the Customer Terms conflict on a payments topic, this add-on controls. Your accepted proposal controls the amount of the platform fee.
The short version: Stripe moves the money, not us. You are the seller, so refunds, chargebacks and disputes are yours. We charge a small platform fee (0.75% unless your proposal says otherwise) on top of Stripe's own fees.
1. Definitions
- "We," "us," "PIM": Precision IT Management, LLC, an Ohio limited liability company.
- "You": the business that accepted the proposal and turned on payments.
- "Stripe": Stripe, Inc. and its affiliates and bank partners.
- "Stripe Agreements": the Stripe Services Agreement, the Stripe Connected Account Agreement and any other terms Stripe requires you to accept.
- "Your Clients": the people and businesses who pay you through the product.
- "Payment Features": the parts of the product that let Your Clients pay you by card or ACH through Stripe.
- "Platform Fee": our fee for the Payment Features, described in Section 5.
2. What we are, and what we are not
We are a software company. We are not a bank, a payment processor or a money transmitter. Our software connects your product to your own Stripe account, shows Your Clients a payment screen, sends payment instructions to Stripe, and shows you the status of each payment.
We do not receive, hold, control or move your money or Your Clients' money. Stripe collects each payment, holds the funds and pays them out to your bank account under your Stripe Agreements. We cannot delay, speed up, redirect or release your funds. Our only share of any payment is the Platform Fee, which Stripe deducts and pays to us.
You agree not to describe us to Your Clients, a card network, a bank or a government agency as your bank, processor or money transmitter.
3. Your Stripe account
To use the Payment Features you must:
- open and keep your own Stripe account in your business's legal name;
- accept the Stripe Agreements directly with Stripe during onboarding;
- give Stripe accurate business, owner and bank information; and
- follow the Stripe Agreements, card-network rules, ACH (Nacha) rules and the law, including Stripe's list of restricted businesses.
We are not a party to the Stripe Agreements and cannot change them. Stripe alone decides whether to approve, limit or close your Stripe account. If you use Stripe's features to add a surcharge or convenience fee to card payments, you are responsible for making sure it is allowed and properly disclosed.
4. You are the merchant of record
You, not PIM, are the seller and the merchant of record for every payment made through the Payment Features. You are responsible for the goods and services you sell, the price you charge, your refund and cancellation policy, and your relationship with Your Clients. Your Clients' questions about a charge go to you.
5. Platform Fee
- Amount. The Platform Fee is 0.75% of the gross amount of each payment processed through the Payment Features, unless your accepted proposal states a different fee.
- On top of Stripe's fees. The Platform Fee is separate from, and in addition to, Stripe's own processing, ACH, dispute and other fees. Stripe sets its fees; we don't control or refund them.
- How it's collected. Stripe deducts the Platform Fee from each payment as a Stripe application fee. We do not invoice it separately, except to collect amounts described in Section 7.
- Refunds. The Platform Fee is earned when a payment is processed. If Stripe automatically returns our fee to you when you refund a payment, we will not charge it again.
- Changes. The Platform Fee is covered by your price lock under the Customer Terms. After the lock ends, we may change it on 30 days' notice by email. You can avoid a change by turning off the Payment Features.
- Taxes. The Platform Fee does not include any tax that applies to our service.
6. Payouts
Stripe pays out your balance to your bank account on the schedule set in your Stripe account. Payout timing, holds, reserves, account reviews and account closures are decided by Stripe under your Stripe Agreements, not by us. Questions about a missing or delayed payout go to Stripe. We will help you find information in the product where we can.
7. Refunds, chargebacks, disputes, reserves and negative balances
You are responsible for all of the following. We do not guarantee, fund or insure any of them:
- refunds to Your Clients, under your own policy and the law;
- chargebacks, disputes, ACH returns and reversals, including the disputed amount, the related fees and responding to the dispute;
- fines, penalties and assessments from Stripe, a card network or a bank that arise from your payments or your business;
- reserves and holds that Stripe places on your account; and
- negative balances in your Stripe account.
We do not guarantee that any payment will succeed, settle or stay settled.
If we are charged anyway. If Stripe, a card network or a bank actually charges or debits us for an amount caused by your payments, you will repay us within 10 business days after we send you the details. If you dispute an amount in good faith and tell us why in writing, we will not collect the disputed part until we have worked it out with you. You authorize us to deduct amounts you owe under this section from money we owe you, or to charge the business payment method you use to pay our invoices after telling you the amount first. We will never hold your funds or Your Clients' funds as a reserve or as security. Any reserve is held by Stripe in your own Stripe account.
8. Card data and PCI
Card and bank details are entered into forms provided by Stripe and go straight to Stripe. We never receive or store full card numbers. Stripe stores payment card data under its PCI-DSS program. You are responsible for PCI compliance for your own business, including protecting your Stripe login and any payment information you handle outside the product. Do not write down, email or type full card numbers into the product.
Payment details the product does keep, such as the payer's name, amount and date, are Your Data under the Customer Terms and our Privacy Policy.
9. Taxes and 1099-K forms
You are responsible for sales tax and any other tax on your sales to Your Clients. Any tax figure the product shows is a convenience, not tax advice.
Form 1099-K. Any Form 1099-K reporting your payment volume is issued by Stripe or by us, depending on the type of Stripe account used. We will tell you at setup which one applies to you.
10. Pausing the Payment Features
We may pause or turn off the Payment Features, in whole or in part, if:
- Stripe limits, suspends or closes your Stripe account;
- we reasonably believe a payment or your use is fraudulent, unlawful, or breaks the Stripe Agreements or card-network rules;
- Stripe, a card network, a bank or a government agency requires it;
- your dispute, chargeback or refund levels create unusual risk; or
- you have not repaid an amount owed under Section 7.
We will tell you why by email, and give notice first where the law and the situation allow. We will turn the features back on once the problem is fixed. Pausing payments does not pause the rest of the product.
11. Liability
The disclaimers, liability cap and exclusions in the Customer Terms apply to the Payment Features. In addition, we are not responsible for anything Stripe or its bank partners do or fail to do, including payout delays, holds, reserves, account decisions, fee changes, outages, or declined or duplicate payments caused by Stripe, a card network or a bank. Your remedy for those matters is with Stripe.
Your repayment obligations in Section 7 and the Platform Fees you owe are payment obligations. They are not limited by the liability cap. Your indemnity in the Customer Terms also covers claims arising from your sales, refunds, chargebacks and surcharges, and any claim that we are a money transmitter or payment processor because of how you used the Payment Features, unless the claim is caused by our own breach or negligence.
12. Ending the Payment Features
You can turn off the Payment Features at any time by telling us in writing. They also end when your subscription ends. When they end:
- we disconnect your product from your Stripe account;
- your Stripe account and its balance stay yours. Final payouts, reserve releases and closing the account are handled by Stripe;
- you can export your payment records under the data-export terms of the Customer Terms; and
- you remain responsible for refunds, chargebacks, disputes and amounts owed under Section 7 for payments made while the features were on. Platform Fees already earned stay payable.
Sections 4, 7, 9, 11 and 12 survive after the Payment Features end.
13. Everything else
